1. Acceptance of Terms
By accessing our websites (including firefoil.com and fireshields.com) or purchasing FireFoil products, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Waiver and Release of Liability. FireFoil products are owned and sold by Firezat, Inc. dba FireFoil ("FireFoil," "we," "us," or "our"). If you do not agree with any part of these Terms, do not use our sites or purchase our products. We may update these Terms from time to time and will post the revised version with an updated "Last Updated" date.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract to purchase. If you purchase on behalf of an organization, you represent that you are authorized to bind that organization.
3. About the Products
FireFoil sells aluminized wildfire structure-wrap material and related items designed to help reduce the risk of wildfire damage by reflecting heat and helping block embers and burning debris. FireFoil products are a protective aid, not a guarantee. No product can make a structure fireproof, and outcomes depend on many factors outside our control, including fire behavior, weather, and the completeness and correctness of installation.
4. Orders, Pricing, and Payment
Prices are shown in US dollars and may change at any time. We may correct errors and refuse or cancel any order (including after it is placed) in the event of a pricing or availability error or suspected fraud. Payment is processed by our payment providers, and buy-now-pay-later options may be offered through Affirm, subject to Affirm's approval and terms. Applicable taxes and shipping are calculated at checkout.
5. Shipping and Delivery
Shipping terms, timeframes, and costs (including freight for heavier rolls) are described at checkout and in our shipping information. Risk of loss passes to you upon delivery to the carrier unless applicable law requires otherwise.
6. Returns
Consistent with our Waiver and Release of Liability, our sole remedy is replacement of unused product upon proof of defect within ninety (90) days from the purchase date. No refunds are issued. Because our products are made-to-order protective material, we do not accept returns for convenience.
7. Waiver and Release
Completing a purchase requires you to review and accept our Waiver and Release of Liability. You accept it online before your order proceeds to checkout. That acceptance is part of these Terms. Read the full release at fireshields.com/waiver.
8. Intellectual Property
Our websites and their content, including software, text, graphics, logos, images, and design, are owned by FireFoil or its licensors and are protected by intellectual property laws. "FireFoil" and "FireFoil™" are marks of Firezat, Inc. dba FireFoil. We grant you a limited, revocable, non-exclusive, non-transferable license to use our sites for your personal, non-commercial use in accordance with these Terms. You may not copy, reproduce, distribute, or exploit our marks or content without permission.
9. Acceptable Use
You agree not to misuse our sites, interfere with their operation or security, use automated systems to overload them, or use them for any unlawful, harmful, or fraudulent purpose.
10. Disclaimer of Warranties
Except for any express limited warranty we provide in writing, the products and sites are provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that any structure will survive a wildfire. Proper, complete, and timely installation is your responsibility.
11. Limitation of Liability
To the fullest extent permitted by law, Firezat, Inc. dba FireFoil and its distributors, retailers, affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, and our total liability for any claim relating to a product will not exceed the amount you paid for that product.
12. Indemnification
You agree to defend, indemnify, and hold harmless FireFoil and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the products or sites, your violation of these Terms, or your violation of any law or third-party right.
13. Governing Law and Disputes
These Terms and any dispute arising from your use of the sites or products are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in Clark County, Nevada, and the parties submit to the jurisdiction and venue of those courts.
14. Miscellaneous
Severability: if any provision is held invalid, the remaining provisions remain in effect. Waiver: our failure to enforce any provision is not a waiver. Entire Agreement: these Terms, with our Privacy Policy and Waiver and Release, are the entire agreement regarding the products and supersede prior understandings. Assignment: you may not assign your rights without our consent; we may assign freely. No Third-Party Beneficiaries.
